Role
Who you are
- We are seeking a highly driven and adaptable Corporate Counsel to oversee Archive's legal and compliance function
- 4-7 years proven legal experience in a business environment, such as working within a law firm or a corporation, preferably with experience in technology, where a variety of legal topics were part of regular work, including corporate, contract, intellectual property, privacy, and/or tax laws
- Experience with local and international privacy laws and regulations in the context of technology and/or e-commerce companies, including GDPR, CCPA, etc., especially with respect to e-commerce marketplaces, online consumer experience, and/or product building
- Prior experience at a growing startup is a plus
- BSc degree in Law or J.D. degree
- Strong record of providing solution-focused advice
- You’re excited about joining an early-stage team and building out Archive's legal function
- You are a leader, but are willing to get into the nitty-gritty and do whatever is important to the company
- Ability to react with appropriate urgency to matters which require a quick turnaround
- You possess strong analytical skills with the ability to assess complex legal issues and provide practical solutions
- You work well with cross-functional teams, providing legal guidance that supports business objectives
- You take initiative and can work independently, managing multiple projects simultaneously

What the job involves
- In this role, you will be responsible for ensuring legal compliance, managing contracts, mitigating risks, and providing strategic legal advice to support Archive’s growth
- This is an exciting opportunity to shape the legal foundation of a rapidly scaling company at the forefront of branded resale
- Legal Compliance: Ensure the company's operations and activities comply with all relevant laws and regulations in the US and all regions where Archive operates. Promote legal, compliance and risk management best practice throughout the company. Create, monitor, and update the Terms of Use and Privacy Policies across our white-labeled sites, as necessary
- Contract Management: Draft, review, and negotiate a wide range of contracts, including partnership agreements, vendor contracts, and licensing agreements. Work with Archive's brand-facing functions in brand negotiations
- Risk Management: Identify potential legal risks and develop strategies to mitigate them, providing proactive advice to the leadership team. Provide advice to Archive’s leaders and staff on a variety of legal topics that relate to our resale, ecommerce, consumer protections, privacy, tax, and other business relevant areas
- Corporate Governance: Advise on corporate governance matters, including board meetings, corporate policies, and compliance with corporate laws. Identify and work with external counsel to support expansion into new geographies, determining the legal and registration requirements to set up and conduct business abroad
- Intellectual Property: Manage and protect the company's intellectual property portfolio, including trademarks, patents, and copyrights
- Employment Law: Provide guidance on employment-related legal issues, including hiring practices, employee relations, and compliance with labor laws
- Dispute Resolution: Oversee and manage any litigation or disputes involving the company, working with external counsel, as necessary
Our take
The secondhand fashion market is growing faster than ever due to increased consumer awareness of the positive impact it has on sustainability. However, the sale of pre-loved clothes almost always takes place on third-party marketplaces, preventing brands from capitalizing on second-hand sales and intercepting fake item sales.
Archive develops online marketplaces for brands to facilitate the resale of second-hand items, allowing them to capitalize on the growing second-hand fashion market whilst regulating the legitimacy of such sales. The marketplaces developed by the company are integrated directly within existing first-hand online stores, ensuring that brand loyalists purchase and sell directly through the brand without using external secondhand marketplaces.
Whilst platforms such as eBay, Depop, and Etsy facilitate the resale of preloved fashion items, Archive recognizes that they prevent brands from earning revenue and can lead to the sale of fake products. With 2022 funding behind it, Archive is contributing to an industry set to grow at a rate of between 10 and 15 percent a year over the next decade, and its offering to secondhand fashion markets is strong, legitimizing the sale of preloved products, and advocating for a more sustainable fashion industry.
