Role
Who you are
- Juris Doctor (JD) from an accredited U.S. law school or equivalent, with an active license to practice law in a U.S. state
- A minimum of 12+ years of legal experience with a focus on technology transactions, ideally a combination of top-tier law firm and in-house experience at a technology company
- Deep expertise in IP licensing and complex technology agreements, including OEM, strategic alliance and SaaS
- Fluency with AI tools and a track record of using them to work faster and smarter, whether in drafting, contract review, diligence or knowledge management
- A track record of leading high-value, high-visibility negotiations with large, sophisticated counterparties
- Business judgment and commercial instinct: you can structure a deal, advise on trade-offs, and give clear recommendations to senior executives
- Experience managing or mentoring attorneys, or a demonstrated readiness to lead in a player-coach role
- Excellent written and verbal communication skills, with the ability to explain complex legal issues in plain business terms
- Comfort with ambiguity, a fast pace, and competing high-priority matters
- Cybersecurity and/or enterprise SaaS industry experience
- AI and data licensing experience, including model, training data, and output rights, and terms for agentic or autonomous AI products
- Channel, OEM, and MSSP/service-provider program experience
- M&A experience, particularly commercial diligence and post-close contract integration (a plus, not required)
What the job involves
- As a Legal Director, Strategic Deals, you own three areas: strategic partnerships (such as OEM, technology alliance, AI and service-provider partners); commercial support for strategic product initiatives; and commercial support for M&A diligence and integration
- This is a player-coach role for someone who wants to build something. You'll roll up your sleeves and personally run our most significant negotiations, from term sheet to signature
- You'll also manage and develop a Senior Counsel, while building and developing this new function. This role is a rare opportunity to build and shape a team from day one
- You will work directly with senior leaders and executives across Business Development, Technology Partnerships, Product, Engineering, Finance, and Corporate Development, and partner closely with our commercial, product/IP/AI, privacy, and procurement legal teams
- We are looking for someone who can structure a deal, not just paper it
- Strategic Partnerships: Draft, review, and negotiate complex partnership agreements including OEM, technology licensing and alliance
- IP Licensing & Technology Rights: Negotiate IP ownership, license scope, data rights, and AI terms
- Strategic Product Initiatives: Partner with Product and GTM leaders on the commercial model for new offerings and translate those into clear customer and partner terms
- M&A Support: Lead commercial contract diligence on acquisition targets, identify material risks in customer, partner, and IP agreements, and drive post-close contract integration and assignment workstreams in partnership with Corporate Development
- Deal Strategy & Risk Judgment: Advise executives on deal structure, negotiation strategy, and risk trade-offs. Escalate the right issues at the right altitude, with a clear recommendation
- Team Leadership: Manage, mentor, and develop a Senior Counsel. Set priorities, review work, and build playbooks, templates, and processes that let the function scale
- Cross-Functional Collaboration: Coordinate with commercial, product/IP/AI, privacy, security, and procurement legal colleagues so that each strategic deal gets consistent, company-wide positions

SentinelOne is a cybersecurity company that matches this automation with machine learning-focused software designed to help businesses defend against online attacks.
The company has expanded beyond endpoint security into a broader AI-powered cybersecurity platform spanning endpoint, cloud, identity, and IT operations. This gives SentinelOne access to a larger enterprise market, although it also it also places the company in direct competitions with established cybersecurity leaders, including its biggest rival, CrowdStrike.
As cyberattacks become increasingly automated, the company is expanding its capabilities beyond detection to include AI-driven threat response, helping security teams contain attacks more quickly. While it still trails larger rival CrowdStrike in scale, SentinelOne is investing in platform expansion and automation to compete for enterprises looking to consolidate their cybersecurity into a single solution.
