Role
Who you are
- This individual is a licensed attorney who possesses a strong background and history of collaborating with other departments for legal advisory services and drafting of legal documents
- This individual has significant experience in working as an in-house counsel in a pharmaceutical, clinical research, or related organization
- Given Lightship’s distributed model and the remote nature of this position the General Counsel possesses a willingness and desire to work independently without significant oversight
- Licensed to practice law in the United States
- Graduated from an accredited law school
- At least 10 years of experience as an attorney
- Experience in pharmaceutical company, clinical research organization, or related industry as in-house counsel
- Requisite combination of education, training, and experience
- Led a corporate legal function
- Worked in a regulated industry
- Managed complex transactions and litigation
- Skilled in all legal practice areas to identify risk, with particular emphasis on contracts, employment, corporate governance, and corporate transactions
- For the safety of our patients and each other, all positions at Lightship that require travel, in-person participation, or are patient-facing, do require vaccination against COVID-19
What the job involves
- The General Counsel leads all legal work for Lightship
- Leading the development of best practice in the areas of corporate compliance
- Preparing documents for Board of Directors meetings and ensuring compliance with corporate law and internal governance
- Engaging in risk mitigation practices to avoid disputes and litigation
- Reviewing current practices in high-risk areas that could result in controversy
- Handling all aspects of litigation, arbitration, and government investigations to minimize financial, customer, and reputational impact to Lightship
- Developing standard form agreements and fallback positions for use in key negotiations
- Empowering Lightship executives to utilize standard forms without legal review
- Ensuring that signed agreements and forms are accessible for use and review
- Assisting with due diligence and including protective provisions in closing documents to protect Lightship’s interests
- Drafting closing documents, covenants, indemnities, and other provisions according to best practice
- Utilizing the most skilled and efficient outside legal advisors
- Reviewing outside counsel work to ensure high quality and accurate advice, suitable for the stages of Lightship’s growth
- Auditing legal bills and expenses for reasonableness and accuracy
- Handling all complex commercial transactions based on legal knowledge and risk / benefit
- Negotiating terms and conditions protective of Lightship’s assets
- Developing standard practice and training junior members of the team
- Working in collaboration with other Lightship stakeholders to understand priorities

Our take
Clinical trials have historically been limited by factors like attendance and testing times. Turnaround can be slow, overheads can get costly, and those who don’t have the ability or time to meet appointments go unrepresented in medical developments. Lightship is hoping to redefine clinical trials with their end-to-end collaborative solution that offers at-home participation, making trials more accessible, and their results more representative.
With FDA regulations fairly recently updated to account for at-home trial participation, Lightship's arrival has been welcomed by the industry. The task of producing sound and accurate results outside of the lab is a tough one, so the company's efforts will certainly be valuable to this new clinical trial landscape.
Lightship is well-funded, and strategically partnered with eClinical platform Castor to accelerate its capabilities. With an increasing focus on making trial participants more diverse, and people now acclimatised to virtual engagement, its solution is promising and has the potential to yield vital clinical results.
