Role
Who you are
- Strong academic credentials including a JD and membership in good standing in at least one state bar (NY or CA bar a plus)
- 2+ years of top-tier law firm experience (in-house experience a plus)
- Background in M&A, leveraged finance, or other complex commercial/transactional practice
- Confidence operating in a fast-paced environment with the desire to learn the business
- Able to manage several simultaneous projects and shift priorities under deadline pressure in a dynamic environment
- A team player with low ego who can effectively work with business clients, other attorneys and legal professionals
- Strong organizational skills and attention to detail
- Exceptional written and verbal communication skills and an ability to clearly and simply explain complex ideas

- You are energetic and collaborative -- ready to partner in initiatives that influence all aspects of Compass’s business and work with employees and agents across the company
- Your contributions will be impactful, value driven, and you will play an instrumental role on the Compass Legal Team
- Serve as one of the primary lawyers responsible for mergers, acquisitions, joint ventures, debt financings, and other strategic corporate transactions, working closely with outside counsel, internal business clients and legal subject matter experts
- Help oversee corporate paralegal workstreams, legal entity management and the legal due diligence processes
- Advise on legal issues and risks and help ensure compliance with laws and regulations
- Draft ancillary documentation relating to strategic transactions under tight deadlines
- Coordinate transaction signings and closings
- Work collaboratively with multiple cross-functional teams on post-transaction and integration matters
- Drive improvement of standard form agreements, transaction playbooks, and other legal processes
- Assist with legal trainings for business clients and retrospectives to identify and develop improvements

Compass uses an AI-driven platform to smooth out and speed up the process of buying, selling, or renting property. It functions much like a traditional broker, but employs tech to reduce the time, uncertainty, cost and friction of transactions for buyers, sellers & agents.
It's disrupting a sector so far largely averse to tech innovation, allowing users to close deals in less time than the industry average of 30-45 days. Compass is now the largest independent real estate brokerage in the USA, with over 29,000 agents nationwide.
Despite being a leading residential brokerage and competing well, Compass has remained unprofitable. While the company is replanning its cost structure to be profitable over the next year, it announced its third round of payoffs in early January 2023. Its profit-generating plans include expanding into mortgages, escrow & title services.
