Who you are
- A French qualified lawyer with 3+ years PQE in corporate governance, commercial law and regulatory matters in a law firm or in house
- Previous experience in house at an asset manager, investment bank or Fintech company is an advantage
- Willingness to take on a broad remit across the department, all business functions and areas of law is essential
- Experience managing external counsel is an advantage
- Resilient, outcomes oriented and adaptable to a rapidly changing environment in a cutting-edge industry is essential
- Ability to operate with ambiguity and navigate smaller, dynamic businesses or smaller entities within larger corporates is an advantage
- Outstanding communication skills both orally and in writing and ability to influence persuasively is essential
- Fluent in both French and English is mandatory
What the job involves
- Directly reporting to the Head of Compliance & Regulatory Affairs – France (“HCFR”), the Legal Counsel (France) (“LC”) will assist in ensuring the Group’s legal function is servicing the French elements of our business in the most effective manner to further the Group’s overall aims and objectives
- The LC will be expected to assist the HCFR in providing legal support, and timely delivery of legal services to the Group, and to work collaboratively on cross-border, multijurisdictional matters
- The LC must provide hands-on, commercially focused legal advice, ensuring no areas of the business carry unnecessary reputational, regulatory or other legal risk and that the Group retains its leading-edge credentials
- The postholder will thrive in a cutting edge, entrepreneurial environment, be adept at managing change and comfortable with ambiguity in a highly regulated sector
- This role will report to the HCFR based in Paris, while also working closely with the Deputy General Counsels (“DGCs”) based in United Kingdom and the United States, and Company Secretarial and Compliance counterparts across our jurisdictions
- In collaboration with the HCFR and the DGCs, draft contracts for new products/services and maintain documentation for existing products model contracts with our customers, (standard T&Cs, specific conditions) and partners (NDAs, partnership agreements)
- Review and comment on all types of contracts with customers, partners and suppliers (including the data protection and confidentiality clauses, with the help of the team's specialist advisors if necessary)
- Maintain contract register and legal files
- Prepare and coordinate general meetings of French entities (preparing documents such as appointment letters, minutes, legal announcements, and carrying out related administrative and registry formalities) with the help of external support if necessary
- Ensure corporate and shareholder monitoring (assistance with the transfer of shares, recording transactions and updating mandatory registers
- Assist marketing, sales and customer service teams with their consumer law needs (reviewing wording on the platform, drafting consents and legal notices)
- Work with the HCFR to ensure the Paris office maintains the highest standards of legal, regulatory compliant and ethical behaviour, balancing company performance against corporate integrity
- Source and provide advice on a wide range of French law governed (and some common law governed) commercial legal matters including digital assets, financial regulation, investments, prospectuses, shareholder agreements, Group structure, acquisitions and disposals, venture capital, funds, exchange traded products, trademarks, IP, real estate and data protection
- Provide legal analysis of and applying drafting skills to a wide range of contractual matters with autonomy (with support from the HCFR and the legal team as required), demonstrate an understanding of the wider commercial issues and determine when outsourcing is appropriate
- Support the HCFR by providing solutions to practical legal issues (predominantly involving French law and some common law) in a time pressurized environment
- Assist on regulatory and governance arrangements, policies and procedures, and the implementation of these in the Paris office
- Partner with the wider Group legal and Compliance functions to monitor and highlight current and forthcoming French laws (and some common law) which may affect or have impact on the business of any Group company
- Conduct legal research, examine, create and negotiate draft agreements
- Support the HCFR to develop and maintain a legal database of templates, know how, legal policies and procedures with a view to creating efficiencies and progressing the legal infrastructure
- Co-ordinate and manage legal inputs from third party or internal resources to assist in the delivery of projects on time and to budget, ensure that external resources are delivered in an agile way, have relevant subject matter expertise and have had sufficient brief on the Group’s requirements
- Scrutinise legal fees and bill narratives, and ensure they represent good value for money and are commensurate with the tasks, risk level and the seniority of fee earner resource deployed
