Role
Who you are
- Bachelor’s degree and strong academic record
- MBA or master’s in accounting/Finance, CPA/CMA/CFA a preferred
- Minimum 3-5 years of directly applicable experience in a management consulting, corporate, or entrepreneurial environment. Experience with high-growth, business transformation, and technology is a plus
- 3-5 years of senior associate level experience in investment banking or transaction services
- Strong competencies in financial modelling, valuation, due diligence, post-merger integration
- Strong project management skills with the ability to manage multiple priorities given aggressive timelines
- Excellent analytical skills
- Outstanding interpersonal and communication skills
- Highly motivated with ability to multi-task in a fast-paced environment
What the job involves
- Produce detailed financial models to evaluate M&A opportunities for Datasite, including:
- Capital structure of Datasite before and after acquisition (debt, equity, etc.)
- Cost of capital before and after acquisition
- Cash flow and sources of funding related to potential acquisitions
- Financial forecasts for Datasite and target companies (P&L, capex, working capital, synergies)
- Impact of opportunities on Datasite capital structure and requirements
- Potential return on investment for Datasite equity holders based on business plan (before and after acquisition)
- Equity accretion for Datasite equity holders as a result of proposed acquisitions
- Sensitivities in all the above variables and impact of those sensitivities on the return for Datasite’s equity holders
- Prepare presentation materials based on the above analysis to share results, options, sensitivities, etc. with the Datasite board to support decision making on acquisitions
- Oversee “live” acquisition processes through
- Review of data room and analysis of available data
- Maintaining relationship with external due diligence providers
- Lead due diligence phase as required
- Updating M&A models based on available financials and analysis
- Keeping Datasite board members up to date on process
- Be involved in reviewing the market to find M&A opportunities that fit Datasite strategy
- Interact with other functions on the Datasite team as part of the M&A process: legal, financial control, etc
- Project manage post-M&A integration work providing direction and leadership to other Datasite functions (legal, procurement, financial control, IT, HR, etc.)
- Develop an in-depth understanding of Datasite debt structure and finance agreements and be involved in the continuous review and development of the debt structure
- Daily interaction with private equity shareholder CapVest
