Legal Counsel, Cuvva

• We’re looking for an enthusiastic Legal Counsel (NQ to 2PQE) to help take the business to the next level
• This role is designed for a thorough and proactive person who is equally comfortable with taking the lead on matters like contract reviews and share options as with mucking in on team reporting and monitoring
• Strong legal experience and attention to detail is key. You’ll be expected to handle legal work, but you’ll also need to take a risk-based and proactive mindset across our business
• Have formally qualified as a solicitor (England & Wales), with up to 2 years of post-qualification experience. We'd also consider folks who are about to qualify
• Undertook your training contract (or qualifying work experience) and any subsequent experience at a reputable law firm or in a rigorous in-house role
• Know what legal issues to look out for in contracts and corporate docs
• Have good drafting skills
• Have the ability to give sound advice - and the knack of persuading people to happily follow your recommendations
• Aren’t just an advisor, but someone who wants to drive the business forward
• Are pragmatic, commercial and quick-thinking, but also empathetic and work well with a range of different colleagues
• Are extremely well organised, with great attention to detail
• Love to throw yourself into a wide range of legal areas, and are keen and confident to take the initiative
• Are interested in tech and how Cuvva works!
• A solid understanding of the FCA Handbook, the Consumer Duty and other legislation relevant to financial services including FSMA, the DPA and AML - and how to critically interpret and apply it

Desirable

• You will provide legal support across a wide range of matters, including corporate, commercial, data protection, insurance, and tech work. You’ll be an integral part of our small Legal, Risk & Compliance team, as part of our wider Operations department
• You’ll work closely with and report into our Head of Legal, Risk & Compliance and work collaboratively with multiple stakeholders
• Your mission is to be the first port of call at Cuvva for legal work. You’ll help ensure that we continue to build strong and stable foundations for Cuvva’s continuing growth
• Involved in all sorts of projects - this is a broad ranging role. As a non-exhaustive list, this could include:
• Reviewing and negotiating contracts and NDAs
• Running our EMI share options scheme and carrying out grants and exercises
• Managing and monitoring our approach to data protection
• Keeping our T&Cs and other customer-facing documents up to date
• Circulating board and shareholder consents, and working with our CoSec to keep our records and filings up to date
• Maintaining our cap tables and shareholder records
• Advising on, and project managing, corporate projects from time to time, like fundraising, dividends or share transfers
• Advising our Product teams on regulation and product features, like AI-powered tools and claims bots
• Carrying out risk assessments and helping the business to mitigate key risks
• Running training sessions
• Resolving disputes from time to time
• Generally assisting our Head of Legal
• Horizon scanning for changes in law and regulation
