Who you are
- Qualified lawyer with broad M&A and corporate experience gained either in a leading firm or in industry
- Have had direct involvement in M&A contract drafting and negotiations
- As a guide, this role would be ideal for someone 2 to 6 years PQE
- Experience of working in an international environment and advising business outside jurisdiction of qualification
- Experience in managing multiple stakeholders and project management skills; and
- Exposure to commercial negotiations and contracts
What the job involves
- Corporate and commercial lawyer required to support the Group Functions (in particular, the Group Corporate Development and Strategy team) on a variety of legal matters
- This is a broad role, primarily encompassing M&A (mergers, acquisitions, joint ventures, divestments and partnerships) and general corporate and commercial matters across a wide range of geographies and businesses
- Lead and support M&A and corporate processes: Oversee all M&A (mergers, acquisitions, joint ventures, divestments and partnerships) and corporate activities from a legal perspective, including leading negotiations and supporting the General Counsel in these processes
- Draft and negotiate legal documentation: Prepare and negotiate a diverse range of corporate legal documents, such as Sales and Purchase Agreements, Joint Venture Agreements, other related contracts and company law related documents
- Enhance M&A procedures: Identify and implement improvements in M&A procedures to streamline processes, reduce complexity, and enhance efficiency in collaboration with internal teams
- Provide legal training: Conduct M&A and other relevant legal training sessions for legal colleagues and internal stakeholders to ensure a well-informed team
- Assist the Corporate Development and Strategy team with strategic planning and various ad hoc projects - providing legal insights and support
- Manage external legal services: Oversee the engagement and management of external legal firms for specialised legal services, ensuring service levels, budget compliance and effective legal spend management
- Where required, drafting and negotiating a variety of legal documents and commercial contracts for Group Legal. This ranges from standard terms to bespoke agreements

By reducing its administrative headcount, slimming down to its core business and focusing on emerging green technologies, Johnson Matthey hopes to reduce costs and allow it to compete more effectively against major rivals such as Croda and Ceres.
So far this strategy has paid dividends, with Johnson Matthey returning to the FTSE 100 in late 2022. With its core business booming, it is aiming to focus on research into sustainable catalysts and renewable fuel cell technology which will enable it to increase the 90% of its products that are contributing to a greener economy to 100% by 2040.
