- Hold a bachelor's degree or equivalent
- A professional with 4+ years of compliance program management, legal, transactional paralegal, governance, audit, or equivalent experience
- Experienced in reviewing, drafting, and negotiating standard commercial contracts (SaaS experience is a plus)
- An excellent communicator and able to partner well with colleagues on the finance, legal, and people teams
- Experienced with high growth private companies

What the job involves
- Rafana Labs is seeking a Governance, Compliance and Contracts Manager to join our dedicated, collaborative, and fast-growing legal team
- The primary responsibility of the Governance,Compliance and Contracts Manager will be to support our global compliance and governance initiatives, and to support certain commercial contract negotiations and processes
- Assist the legal team in delivering high-quality governance support across a wide range of matters to assist the business in meeting its global compliance obligations and achieving its various global entity objectives
- Develop new and enhance existing governance policies, ensuring alignment with regulatory requirements and industry best practices
- Support the entire lifecycle of Board and Committee meetings, covering scheduling, coordinating and reviewing inputs, crafting agendas, and efficiently managing action items
- Drive initiatives to streamline and enhance governance processes, fostering transparency and accountability within the organization
- Oversee and support international subsidiary governance matters
- Support corporate transactions, such as M&A and financings, through partnership with the broader corporate legal team and cross-functionally with the finance, corporate development and HR teams
- Assist in the negotiation of NDAs, Master Service Agreements, and various vendor agreements as needed
- Support the contracting process throughout the entire contract lifecycle from initial request to execution
- Support the improvement of playbooks and form templates
- Provide great client service and have the ability to escalate appropriately where required
