Role
Who you are
- At least 5 years of commercial contracting experience with prior in-house experience
- J.D. from an accredited law school with an excellent academic record
- Member in good standing of state bar (preferably of a state where one of our corporate facilities is located)
- Strength in delivering practical, actionable advice to overcome challenges
- Ability to develop and sustain positive relationships with internal stakeholders and external vendors and customers
- Strong communication skills, including the ability to effectively communicate legal considerations to non-lawyers
- Professional maturity to take ownership of various assignments with limited supervision
- Ability to influence and provide effective advice at all organizational levels
- Working knowledge of data privacy and security issues, with experience drafting and negotiating data privacy and data security terms
- Detail-oriented, organized, efficient and resourceful with strong follow-through skills
- Ability to manage shifting priorities within a fast-paced environment
- The successful candidate will have demonstrated experience with complex commercial contract negotiations and enjoy working in a fast-paced environment
What the job involves
- This key role will work closely with business partners across the organization to provide practical and sound legal advice on a broad range of commercial matters
- This position will report to the Associate General Counsel, Commercial
- Review, draft and negotiate a variety of commercial agreements, including strategic partnership agreements, customer agreements, service agreements, software licenses, leases and fulfillment agreements
- Negotiate data processing agreements and similar agreements directly with customers and vendors, with the support of our Privacy team
- Counsel internal stakeholders at all levels of the organization by providing clear and concise advice and creative solutions on timelines to meet business needs
- Drive best practices by maintaining and updating legal templates and playbooks and implementing improved contract management processes and tools
- Partner with internal stakeholders and Litigation team to resolve disputes that arise from existing commercial relationships
- Educate legal team members and internal stakeholders on commercial legal issues, best practices, templates, playbooks and processes
