Who you are
- 12+ years of legal experience, with at least 5+ years in-house in tech; strong preference for experience in high growth B2B company
- Proven track record in both corporate and employment law matters, including governance, securities, workplace investigations, employee relations issues, leave administration, pay equity, performance management and policy development
- Ideal candidates will have supported scaling companies in IPO readiness, establishing international entities, and hiring and managing international employees
- Demonstrated success as a people leader, having managed and scaled Corporate & Employment legal departments
- Positive, business focused attitude with excellent judgment, high integrity, and the ability to prioritize and manage multiple projects simultaneously and on time
- Ability to quickly assess business challenges and understand business objectives, making timely and pragmatic recommendations in light of company priorities
- Experienced leader with proven interpersonal skills, including in the ability to communicate effectively with a wide range of people, collaborate with and build in partner relationships internally and externally
- In-depth understanding of how legal issues impact different parts of the organization and ability to translate complex legal issues in a clear and understandable manner
- Strong project management skills and a demonstrated ability to build and scale programs (including internationally) and lead cross functional initiatives (including having led change management efforts)
- Deep understanding of the modern Legal tech stack and surrounding LegalTech ecosystem
- JD from an accredited law school and admission to the CA Bar
What the job involves
- We are excited about expanding our Legal Team
- This role would report to and work collaboratively with the General Counsel and senior leadership to provide guidance on corporate and employment related legal matters that align with our company culture and global business objectives
- This role will have a key role in general corporate governance, transactional matters, securities, finance and stock administration matters and a broad range of employment and HR issues, including benefits, investigations, and employee relations issues
- The role will work closely with Finance, Stock Administration, and People leadership
- Provide legal advice and practical, business-oriented solutions to ensure compliance with respect to matters arising under applicable securities laws
- Support executive leadership team in governance requirements and best practices, including preparation of Board meeting agendas, pre-read materials, resolutions, minutes and post-meeting action items, including with respect to IPO readiness
- Advise the company on governance requirements and best practices, including with respect to IPO readiness
- Counsel on a range of corporate-related matters, such as executive compensation, equity plans, stock administration and related policies
- Oversee corporate documents, filings and requirements for Ironclad’s expansion into international markets
- Serve as the first point of contact for Ironclad’s People Team to develop and deliver creative solutions to complex employment issues that align with the company’s strategic goals and values
- In partnership with the People Team, establish enterprise policies and processes that will govern the legal aspects of the employment life cycle, including recruitment, compensation matters, reorganizations, leave management and administration, policy governance, employee privacy and more
- Act as a trusted advisor to senior leaders on employment law trends, workplace investigations, and complex personnel issues and collaborate with the People Team to develop strategic solutions that align business objectives with applicable employment laws and regulations
- Develop and deliver training programs for managers and People Team members on employment law best practices
- Public company corporate experience, including managing direct reporting, the company stock administration plan, and disclosures

Business contracting is often inefficient and messy, with approvals required from various stakeholders and many processes still paper-based. Ironclad is a platform that digitises, automates, and streamlines contract workflows, allowing legal teams to focus on legal work rather than paperwork. Ironclad’s platform features collaborative tools that facilitate business operations and extract and catalog contract metadata, making information easier to access and act upon. Its enterprise customers include Dropbox, Mastercard, Pixar, Fox, and L’Oréal.
Despite its success, Ironclad faces competition in the $3 billion contract lifecycle management industry from major players like DocuSign and emerging ones like Contractbook. The company recently announced Ironclad Signature, marking its entry into the $25 billion eSignature market. The new feature speeds up the signature process by an estimated 80% and provides summaries and approval histories to users. This new tool is expected to strengthen Ironclad's position in the sell-side contract lifecycle management market.
Additionally, Ironclad introduced value-based pricing, charging only for completed, signed agreements, unlike other providers who charge for every signature packet sent out. Ironclad, backed by investors like Accel, Sequoia, Y Combinator, and BOND, remains committed to innovating and maintaining its leadership in the contract lifecycle management space.
