Role
Who you are
- 10+ years of experience as a corporate paralegal, preferably in a publicly traded company or law firm specializing in public company compliance
- Bachelor’s degree or paralegal certificate from an ABA-approved program is required
- Proven experience in maintaining corporate governance and managing public company compliance
- Strong knowledge of SEC filings, public company governance, securities laws and reporting requirements
- Strong written and verbal communication skills, with the ability to collaborate across departments and influence stakeholders at all levels
- Experience with the securities offerings processes
- Experience working with Board of Directors communications and corporate secretarial functions
- Experience in technology or high-growth industries is a plus
What the job involves
- Lime is hiring a Corporate Paralegal to join our Corporate and Securities Legal team! In this role, you will report into the Corporate Legal Director
- This is a unique opportunity to make a significant impact as we build the foundation for long-term success
- Maintain corporate records, including minute books, stock ledgers, and other key corporate documents
- Assist with the maintenance of domestic and international subsidiary entity activity and compliance, jurisdictional qualifications to do business, and related entity and corporate governance items
- Manage corporate filings and ensure timely submission of reports to regulators, including annual reports, proxies, and 8-Ks
- Prepare and assist with filing periodic reports (10-K, 10-Q, 8-K) and Section 16 filings (Forms 3, 4, and 5) with the U.S. Securities and Exchange Commission (SEC)
- Assist in the preparation of annual proxy statements and coordinate the annual shareholder meetings, including notice of meetings and proxy materials
- Monitor insider trading and compliance with Section 16 rules
- Assist with due diligence efforts for M&A transactions, including coordinating document collection and review
- Assist with various corporate projects as assigned, such as internal audits, litigation matters, or special projects
Our take
In recent years, electric-powered mobility companies have attracted an extraordinary amount of interest and funding, in part due to rising eco-friendly sentiment, and in part because of the race to "find the next Uber". Lime is one such company, that has rapidly scaled across multiple geographies to be a key player in the fight for market leadership.
Lime, along with its competitors, has had to grapple with regulation in many of its target markets, but nonetheless has steadily increased its footprint. Since its launch, the company has facilitated millions of trips, making it one of the biggest companies of its kind. Interestingly, the CEO has stated that "cars are our true business rivals—not other scooter companies", suggesting that its biggest business challenge will be to get families to give up their second cars.
With a presence that spans an impressive number of regions - most recently Lime has begun operating in Qatar - the company has cemented itself in the micromobility market, and stands to profit from the increasing popularity of these types of services. Across 2022, a substantial increase in ridership enabled Lime to achieve a "full profitable year", with suggestions it will pursue an IPO in the near future.
