Who you are
- Legal expertises: business law, GDPR, wcontracts management, corporate and governance issues
- Degree in business law (Bac +5)
- 4 years'+ experience in a fast-paced environment such as an international start-up
- Fluent in legal French & English, we work in both languages on a daily basis
- Personality: You are a pragmatic and solutions-oriented legal advisor. You effectively manage multiple files with changing priorities
- Excellent communication skills to interact with a variety of stakeholders and set clear frameworks, including board members
- Ability to collaborate with various corporate functions and orchestrate the progress of legal files, make proposals and identify risks
- Of course, discretion & ability to manage sensitive information is expected on this role
What the job involves
- DNA Script is looking for a Legal Counsel. Reporting to the Chief Financial Officer (CFO), you will work directly with the Executive Committee
- As a key member of the Sales, Customer Success and Tech teams, you will be responsible for the legal activities of the parent company in France, as well as the US subsidiary
- Ensure commercial execution in alignment with annual Sales and Business Development objectives, guaranteeing support and compliance with legal processes in a timely manner
- Provide pragmatic, risk-based legal support to internal teams to propose workable solutions
- Train sales teams on key legal and commercial risks to improve decision-making and collaboration with the legal department
- Contribute to streamlining legal processes and documentation while protecting the business
- Draft, negotiate and review a wide variety of contracts (customers, suppliers, partnerships, commercial agreements, etc.)
- Help organize and automate contractual processes, including through Legal Tech tools
- Manage contract documentation workflows, approvals, reporting and archiving in accordance with internal processes
- Act as the CEO's legal partner on governance and board matters
- Maintain shareholding processes, including capitalization table updates, issuance of employee instruments and governance documentation, in collaboration with specialized law firms
- Manage the company's legal operations in France and the United States, including preparing shareholders' meetings, monitoring board meetings and participating in financing and acquisition transactions
- Support HR teams on labor and employment law issues in France and the US
- Ensure compliance with the RGPD and other applicable regulations, as well as managing personal data requests and incidents as DPO
- Work in partnership with external legal advisors to create value and optimize legal support
- Monitor legislative and regulatory developments impacting the company and propose strategic adjustments
- Continuously improve legal operations and know-how to support the business and the legal function

DNA Script attempts to solve this issue by democratising DNA synthesis for laboratories everywhere.
DNA Script facilitates biological and scientific development through providing proprietary equipment to labs that facilitate in-house DNA synthesis. The equipment eliminates the need for a reliance on external sources, and can significantly speed up workflows and operational efficiencies.
An issue found with equipment is that the DNA synthesised may vary in quality across locations, a problem that the company is committed to addressing through investigations and evaluation. By increasing the ability of labs to carry out DNA synthesis, the possibilities of the tech are vast and have the potential for revolutionary scientific developments. 2022 funding has facilitated the advance of DNA Script's SYNTAX Platform, allowing scientists to print synthetic nucleic acids, avoiding the need for third-party waiting times.
