Who you are
- JD from a top U.S. law school
- Training at a top national law firm
- 5-7 years of total post-law school experience
- Membership in a U.S. state bar
- Significant experience advising on M&A transactions
- Sound and practical business judgment and the ability to provide business-oriented, practical legal advice
- Experience managing outside counsel efficiently and effectively, and balancing that with using in-house resources
- Prior senior in-house experience, including reporting to General Counsel
- Experience working with other in-house teams, including finance, corporate development and accounting
- Strong interpersonal communication skills and an ability to multi-task and work in a fast-paced environment

What the job involves
- We are looking for a Senior Counsel, M&A. As a Senior Counsel, M&A, you’ll be part of a cross-functional team whose mission is to lead IonQ on its journey to build the world’s best quantum computers to solve the world’s most complex problems
- In this role, you will report to the Associate General Counsel for Corporate and Assistant Corporate Secretary. You will be a true business partner, having a meaningful impact on the organization by supplying sound business advice, excellent negotiation skills and well-informed advice on transactional matters
- Draft and negotiate term sheets and a range of definitive transactional agreements focusing on acquisitions and investments
- Conduct and manage legal due diligence for potential transactions
- Coordinate with cross-functional teams throughout a transaction’s life cycle
- Drive continuous improvements and scalability in deal processes, diligence and execution
- Assist with post-closing integration of acquisitions
- Manage outside counsel
Our take
IonQ is a quantum computing company, its current quantum computer, the IonQ Quantum Cloud is accessible through the cloud. An offshoot of the co-founder's 25 years of academic research in quantum information sciences, IonQ hopes to build the world's best quantum computers that can solve complex problems at a much faster rate than that of traditional computers.
Over the past few years, IonQ has partnered with several major technology companies, including Microsoft, Amazon Web Services, and Google to make its quantum computers more widely available. Most recently, it partnered with General Dynamics Information Technology (GDIT) to bring quantum solutions to government and defense sectors across the US.
IonQ has also acquired Entangled Networks to bolster its product offerings and also merged with a special purpose acquisition company to become a publicly traded company on the New York Stock Exchange under the ticker symbol "IONQ". The merger brought in substantial gross earnings that IonQ plans to utilize in order to accelerate its technology development and commercialization efforts.
