Role
Who you are
- Irish Qualified Lawyer with 2 to 3 years post-qualification experience working within Asset Management/Investment Funds team at a law firm, or inhouse at Management Company, Fund Administrator or Financial Services business
- Excellent technical knowledge of the relevant legal and regulatory landscape including relevant Central Bank of Ireland requirements
- Knowledge of fund distribution to both professional and below professional investors in the EEA and UK is a plus
- Detail oriented with strong analytical and problem-solving skills
- Commercially minded with an adaptive nature
- Strong written and verbal communication skills
- Independent and critical thinking skills
- Ability to multitask effectively
- Team player who can effectively and efficiently collaborate with different teams
- Good degree of independence, initiative, and decisiveness but also desire to be challenged and think outside the box
What the job involves
- Join our expanding legal team to support the Group General Counsel and the wider organisation across all legal matters whilst working closely with the Compliance, Fund Operations, Investment and Distribution Teams
- Ongoing review of fund documentation relating to Titanbay Master Fund SCSp-RAIF and liaising with appointed fund counsel to the RAIF on legal matters including new fund approval, amendments to funds and updates to meet the requirements for regulatory changes (e.g. SFDR)
- Drafting, reviewing and negotiating fund and delegate agreements, including management, investment advisory, administration and depositary agreements
- Drafting, reviewing and negotiating Distribution Agreements with distributors being appointed to distribute the RAIF in Europe and globally
- Drafting, reviewing and negotiating all other legal agreements – e.g. IT agreements, licensing agreements, data protection agreements, consultancy agreements, intro-group agreements, supplier agreements, employment agreements and NDAs
- Providing legal support to the business with cross-border fund promotion activities, i.e. marketing of investment funds and the distribution of the Titanbay group’s products and services globally
- Understanding and application of licensing requirements or fund registration/notification requirements and the performance thereof
- Reviewing marketing material for compliance with cross-border legal requirements
- Working with the appointed Company Secretary and Group General Counsel on company secretarial matters for the Titanbay Group, including shareholder meetings, board minutes, board meeting/pack preparation, liaising with report providers, board members and shareholders;
- Keeping up to date with respect to regulatory changes affecting the Titanbay Group and advising the business accordingly
- Supporting the wider Titanbay compliance function
- Supporting the Group General Counsel/Head of Legal on strategic projects and hoc legal matters
- Managing the process of instructing external counsel where necessary across the various projects
- Creating and improving legal processes to support the wider business
- Other ad hoc duties relating to fund promotion and distribution activities and other legal matters
- Provision of training to others departments and sharing team expertise

Other PE firms, such as Carlyle Group and the Blackstone Group, are also offering publicly traded stock, and thus giving average investors an opportunity to invest in private equity. However, the giant and growing private equity investment market provides adequate space for competition. In 2022, Titanbay raised additional growth capital from an impressive roster of investors - demonstrating the calibre of impact it has made in the space.
