Who you are
- You have 3-5 years of experience in corporate governance or a similar role, preferably at a public company
- You have a bachelor's degree or equivalent practical experience
- You possess expertise in corporate secretary functions, including subsidiary management
- You are a self-starter who can prioritize multiple projects, meet deadlines, and thrive in a fast-paced environment
- You are a team player with strong interpersonal skills and a proven ability to produce accurate work
- You have exceptional attention to detail, organizational skills, and communication skills
- You are proficient in MacOS, MS Office, GSuite, and Adobe Acrobat
- You understand the importance of confidentiality and discretion when handling sensitive matters
- Notary Public or willingness to become one
What the job involves
- As a Corporate Governance & Commercial Paralegal at Compass, you'll be joining a team of talented legal professionals who are passionate about supporting our company's growth and success
- You'll collaborate with in-house lawyers and cross-functional teams to ensure that our corporate governance practices are efficient, effective, and compliant and to assist with general commercial matters
- Manage subsidiary governance for our 175+ subsidiaries, including formations, dissolutions, and filings
- Prepare and file various documents, such as annual reports, DBAs, and foreign qualifications
- Assist with drafting corporate governance documents like resolutions, consents, and bylaws
- Maintain our global subsidiary management database and work with outside vendors to support our subsidiary management services
- Assist with mergers and acquisitions integrations and credit facility compliance
- Work with our commercial attorneys on various commercial matters, including financings, contracts and other relevant projects
- Collaborate with Tax, Finance, and People & Culture teams on cross-functional initiatives
- Develop and implement systems to organize and store corporate records
- Support special projects through research, organization, and project management

Compass uses an AI-driven platform to smooth out and speed up the process of buying, selling, or renting property. It functions much like a traditional broker, but employs tech to reduce the time, uncertainty, cost and friction of transactions for buyers, sellers & agents.
It's disrupting a sector so far largely averse to tech innovation, allowing users to close deals in less time than the industry average of 30-45 days. Compass is now the largest independent real estate brokerage in the USA, with over 29,000 agents nationwide.
Despite being a leading residential brokerage and competing well, Compass has remained unprofitable. While the company is replanning its cost structure to be profitable over the next year, it announced its third round of payoffs in early January 2023. Its profit-generating plans include expanding into mortgages, escrow & title services.
