Role
Who you are
- Strong academic credentials including a JD and membership in good standing in at least one state bar (NY or CA bar a plus)
- 5+ years of experience, either at a top law firm or large in-house legal department (or combination thereof)
- Background in M&A, leveraged finance, or other complex transactional practice
- Confidence operating in a fast-paced environment
- Able to manage several simultaneous projects and shift priorities under deadline pressure in a dynamic environment
- A team player with low ego who can effectively work with other attorneys and professionals
- Strong organizational skills and attention to detail
- Exceptional written and verbal communication skills and an ability to explain complex ideas clearly and simply

- You're part of a group of talented in-house lawyers and the projects you work on challenge you to think creatively and constructively
- You are energetic and collaborative -- ready to partner in initiatives that influence all aspects of Compass’s business and work with employees and agents across the company
- Your contributions will be impactful, value driven, and you will play an instrumental role on the Compass Legal Team
- Serve as a lead attorney on Compass’s mergers, acquisitions, joint ventures, debt financing, and other strategic corporate and commercial transactions, with responsibilities that will include:
- Advising internal business clients and serving as their legal subject matter expert
- Supervising outside counsel on all transactional matters, while liaising with legal and non-legal internal stakeholders at Compass
- Drafting and negotiating term sheets, definitive agreements, credit agreements, commercial agreements and other ancillary and commercial documentation
- Working collaboratively with multiple cross-functional teams on post-transaction and integration matters
- Supporting day-to-day legal issues related to marquee agent offerings, including Compass Concierge
- Develop policies, training, and workflows to allow business teams to move quickly while addressing key legal risks in their areas of operation
- Identify and develop improvements of standard form agreements, transaction playbooks, and other legal and non-legal processes at Compass
- Contribute to legal department initiatives, including cross-functional projects and training
Our take
Compass uses an AI-driven platform to smooth out and speed up the process of buying, selling, or renting property. It functions much like a traditional broker, but employs tech to reduce the time, uncertainty, cost and friction of transactions for buyers, sellers & agents.
It's disrupting a sector so far largely averse to tech innovation, allowing users to close deals in less time than the industry average of 30-45 days. Compass is now the largest independent real estate brokerage in the USA, with over 29,000 agents nationwide.
Despite being a leading residential brokerage and competing well, Compass has remained unprofitable. While the company is replanning its cost structure to be profitable over the next year, it announced its third round of payoffs in early January 2023. Its profit-generating plans include expanding into mortgages, escrow & title services.
