Role
Who you are
- JD from an accredited law school
- Member of a state bar in good standing
- 6+ years’ total work experience after law school
- 3+ years' experience with EPC contract drafting and negotiations
- 2+ years’ experience in power generation, renewables, and/or energy storage
- Past experiences that demonstrate the ability to handle multiple legal matters successfully and efficiently in various legal areas
- Demonstrated ability to understand and analyze complex legal matters, to concisely summarize significant legal concerns, and to communicate those concerns effectively to businesspeople
- Direct experience with assessing the level of legal and business risk in developing and communicating alternatives

What the job involves
- Reporting to the Chief Legal Officer, you will serve as a key member of the legal team to support primarily the commercial and EPC efforts of the company
- Draft, negotiate, and analyze a broad range of commercial contracts, including EPC and EEQ Agreements, LTSAs, Offtake Agreements, Software Agreements, procurement and supplier MSAs, lease agreements, PPAs, consultant agreements, and other origination-related contracts
- Support project development and acquisition activities by preparing and negotiating interconnection agreements, land and lease agreements, MIPAs, Joint Development Agreements, and Development Services Agreements
- Support project finance activities by drafting and negotiating financing, tax, and ITC agreements
- Structure, draft, review, and negotiate a variety of other/related commercial agreements
- Help to develop form files for repeat transaction types
- Advise business teams regarding issues that arise during construction, including change orders, waivers and force majeure notices, and after construction, including warranty claims, as necessary
- Provide timely and efficient commercial legal guidance on a broad range of business topics, including general corporate matters, intellectual property, commercial law, UCC, dispute resolution, commercial liability, and risk assessment
- Support M&A activities through due diligence and negotiation
- Manage and partner with a portfolio of external subject-matter expert legal advisors
- Partner closely with cross-functional teams to ensure alignment on commercial strategy, risk mitigation, and deal execution

Our take
Renewable energy sources such as solar and wind power are often unreliable, so it is necessary to store their output to even out fluctuations in power supply. However, battery production is also polluting, and there are questions about whether supply can keep up with demand.
Energy Vault develops gravity-based storage systems - enormous structures that lift an immensely heavy weight using energy generated by renewable power sources, and release it by lowering the weight over time. Compared to conventional batteries of the same capacity these are far cheaper and simpler to construct, do not need expensive and toxic materials, and can be sited anywhere there is space for them. These batteries yield up to 70% energy savings compared to current technologies, and can hold their charge indefinitely with no degradation unlike chemical batteries.
The company has constructed a major energy storage facility in China and India, with an energy storage capacity of 100 megawatt-hours (enough to power 3,400 homes), and another smaller one in Texas. Energy Vault has also developed newer iterations of its storage systems, which it plans to roll out to the wider market following the success of its initial projects.
