Who you are

- 2+ years of experience in a law firm and/or technology company (corporate and/or transactional focus preferred)
- J.D. from a well-regarded law school and an active bar membership in at least one state
- Knowledgeable about software and technology
- Possess a practical, business-oriented approach to problem-solving and risk management, with the ability to clearly communicate complex legal issues to business partners
- Strong drafting and negotiating skills
- Exceptional organizational skills with proven ability to manage multiple simultaneous projects, balance competing priorities, and work autonomously

What the job involves
- We’re looking for an Associate Corporate Counsel to be a versatile generalist to support the Legal team on corporate, commercial, product, and employment legal matters
- In this role, you’ll primarily focus on corporate governance and commercial contracting, while providing support across all legal functions as needed
- Assist with a broad range of corporate governance and transactional matters (e.g., drafting Board and committee resolutions, managing corporate structure, updating governing documents, capital table management, disclosures and reporting, etc.)
- Draft, review, and negotiate a wide variety of commercial agreements with customers and vendors, advising internal stakeholders on contract interpretation, risk mitigation, and compliance
- Update and maintain GoGuardian’s public-facing terms of service and related policies and, as needed, help advise product and engineering teams on a wide range of legal issues (e.g., privacy, data security, intellectual property rights, consumer protection laws, and responsible AI, etc.)
- Support employment matters as needed, including maintaining and improving form agreements and plans (e.g., offer letters, employment agreements, commission plans, etc.)
- Drive the preparation, implementation, and refinement of legal forms, processes, and procedures to support the legal team’s scalability
- Keep abreast of applicable laws, regulations and industry guidance that impact GoGuardian’s agreements and business practices
- Support the legal team’s needs on a variety of other topics as necessary, including intellectual property, litigation support, and other subject areas as they arise
Our take
GoGuardian provides filtering, classroom engagement and mental health tools for educators. This supports better classroom management, student engagement and online safety - without users having to rely on multiple platforms.
GoGuardian's product capabilities include real-time monitoring for students' device screens, a feature to identify at-risk students and single click tutoring support among others. The major questioning of the suite surrounds how student safety and privacy remain balanced, which is a challenge the company must continue to face.
Millions of students across over thousands of US school districts are served by GoGuardian's software. With schools increasingly turning towards digital education systems, the company continues to expand its services - for example with support for multi-platform school environments and a digital hall pass management system.
