Role
Who you are
- 6+ years of relevant in-house or law firm experience
- Expertise with Section 16 filings, proxy statement filings, and managing corporate secretary/board records
- Experience managing a contract lifecycle management platform (SpotDraft experience a plus)
- Excellent organizational skills, with keen attention to detail, thoroughness, and accuracy
- Strong ability in Excel and Google Suite
- Experience with Diligent, Workiva and Shareworks is a plus
- An ability to work in a fast-paced environment, and to prioritize and manage multiple critical projects under tight deadlines
- Unquestioned integrity and an ability to work on sensitive and confidential matters
- Interested in legal operations and thoughtful AI implementation
- Should you be interested, there is high potential for growth in this role, e.g., evolving legal processes, the team’s suite of technology resources and testing and integrating cutting edge legal AI technology to drive team efficiency
What the job involves
- As Senior Corporate Paralegal, you will meaningfully impact Rent the Runway and its Legal team, primarily by assisting with public company filings and processes, and managing administrative aspects of the Legal team to ensure its operational effectiveness
- You will report to the Chief Legal & Administrative Officer & Corporate Secretary and collaborate closely with the other members of the Legal team
- Assist with public company SEC filings and compliance, including Edgar code management, Section 16 filings, current and periodic reports, the proxy statement, and registration statements
- Manage corporate secretary recordkeeping and files, including Board minutes and materials, attendance records, and documentation related to Directors and Officers
- Support RTR’s equity compensation team, including support for beneficial ownership calculation and insider trading program compliance, including trading window management and annual training
- Provide governance support and recordkeeping for RTR’s subsidiary in Galway, Ireland, including facilitating annual board meetings and filings
- Oversee the complete contract lifecycle, including intake, execution, renewal, and termination
- Serve as the primary liaison for internal stakeholders regarding contract needs, status, and timelines. Manage quarterly business reviews with cross-functional teams
- Support legal team on aspects of marketing, advertising, and partnership initiatives, which includes managing sweepstakes
- Manage the Legal budget and tracking, support the accounting teams accrual process, and coordinate with outside counsel as needed
- Support the Legal team with information requests as needed (e.g., due diligence, data rooms, audits, litigation responses, vendor screening)
- Act as a Legal team ambassador, connecting business teams with resources and playbooks for legal questions

Rent the Runway seeks to profit from two important trends in apparel consumption: wanting to stay on top of the latest fashion trends while living and purchasing sustainably. By providing a platform for women to rent designer pieces, its users can have it all.
The company allows users to rent, subscribe, or buy designer apparel and accessories. It achieves this with its network of partnerships with hundreds of top designers and managing the crucial but complicated logistics in-house. It offers its partnered brands sophisticated analytics about potential customers in return for lower prices on designer garments.
Rent the Runway is now focused on diversifying revenue streams while reducing its costs. Its recent partnership with Amazon is an example of this new direction: while it will use this channel to sell clothes previously rented through its platform, it will, for the first time, be selling new clothes based on rental items modified in line with market data.
While moves such as this may well shift Rent the Runway towards profitability, it also risks undercutting the company's central message of sustainability and supporting the circular economy. The company believes that by creating better quality clothing, it will nonetheless be aiding in the fight against fast fashion. Time will tell if this move helps or hinders the sustainability movement, but it is likely to boost Rent the Runway's bottom line regardless.
